11.If Receiving Party or its representatives are compelled to disclose Proprietary Information by governmental or judicial process,Receiving Party agrees to provide Disclosing Party with prompt written notice of such request prior to the disclosure so that Disclosing Party may seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this Agreement.In the event that such protective order or other remedy is not obtained,or that Disclosing Party waives compliance with the provisions of this Agreement,Receiving Party will furnish only that portion of the Proprietary Information which Receiving Party is advised by opinion of counsel,is legally required and will exercise its best efforts to obtain reliable assurance that confidential treatment will be accorded to the Proprietary Information.
The Receiving Party shall,upon the written request of the Disclosing Party,exert all reasonable efforts to return all documents containing Proprietary Information or samples embodying Proprietary Information furnished by the Disclosing Party pursuant to this Agreement.To the extent it is not possible to return any portion of Disclosing Party’s Proprietary Information,Receiving Party,upon the written request of Disclosing Party,shall certify in writing to Disclosing Party,the disposition or destruction of same and the identity of the person who has performed such disposition or destruction.The Receiving Party,however,may retain a copy of Disclosing Party’s Proprietary Information for archival purposes.
This Agreement may not be assigned without prior written consent of the non-assigning party.

11.如果政府或司法程序强制要求接收方或其代表人披露专有信息,接收方同意在披露之前及时向披露方提供书面通知,说明该要求,以便披露方申请保护令或其它适当的救济和/或免除接收方遵守本协议规定的义务.如果无法获得此类保护令或其它救济,或披露方免除接收方遵守本协议规定的义务,接收方应在披露方征询律师意见后,只披露专有信息中被律师认为属于合法要求的部分,并应尽其最大努力取得可靠保证,确保专有信息获得保密对待.
应披露方之要求,接收方应采取一切合理措施,将披露方根据本协议提供的包含专有信息的所有文件或实施专有信息的所有样品交还给披露方.对于无法交还的披露方专有信息,接收方应按披露方的书面要求,以书面形式向披露方保证其已妥善处置或销毁此类信息,并说明执行处置或销毁的人士的身份.但是,接收方可保留披露方专有信息的副本,用于存档目的.
未经对方事先书面同意,本协议不得转让.
