2.选择C with,在这儿考察的是with+宾语+宾补的结构,

with+宾语+过去分词,比如：With his homework finished,he went to play computer games.作业完成之后,他去玩电脑游戏了.这儿宾补用了过去分词,是因为宾语his homework和宾补finish之间是被动的关系.
with+宾语+动词不定式,比如：With so much homework to do,he refused the invitation.在这儿用动词不定式做宾补,是因为宾语homework和do之间是中未完成的关系,所以用动词不定式.
with+宾语+介词短语,比如：With the book under his arm,the teacher came into the classroom胳膊底下夹着书,老师进了教室.
with+宾语+副词,比如：With the lights on,he went to the bed.灯亮着,他上床睡觉去了.
如果选择as,当“因为”意思讲,是个连词,后面跟句子,可以这么说：As our national day is coming near,many celebrations are in preparation.
