5.The Receiving Party acknowledges and agrees that all Confidential Information,and all physical embodiments thereof,are confidential to and shall be and remain the sole and exclusive property of the Disclosing Party.In the event that either party decides not to proceed with a Business Relationship,the Receiving Party shall promptly return,and cause all of its Representatives to return,to the Disclosing Party all written Confidential Information and shall destroy any other written material containing or reflecting any information contained in the Confidential Information (whether prepared by the Receiving Party or its Representatives) and shall confirm in writing that such actions have been taken.Neither the Receiving Party nor any of its Representatives will retain any copies,extracts or other reproductions in whole or in part of such Confidential Information,in whatever medium or format.
