摘 要
企业会计造假、会计信息失真,是我国财经领域存在的一个突出问题,尤其是上市公司通过会计造假操纵利润,严重损害了国家和投资者的利益,扰乱了社会经济秩序,必须采取有力措施进行治理整顿.本文拟从上市公司会计造假的主要手段入手,分析会计造假的成因,并提出解决问题的对策和建议.我国资本市场投机氛围浓厚,不少公司为了从资本市场上合法“圈”到更多的资金,获得通过正常经营渠道无法得到的超额利益,编造虚假会计信息,骗取股东信任与支持.上市公司、上市公司控股股东、上市公司管理层、中介机构等整个相关利益者同时参与并获得不菲的收益.

Abstract
Enterprises of false accounting,accounting information distortion,China's financial field is a prominent issue,especially listed companies manipulated through false accounting profits,and seriously harmed the country and the interests of investors,disrupting the social and economic order,we must take forceful measures for rectification.This paper listed companies from the major means of false accounting paper analyzes the causes of false accounting,and proposed solutions to this problem and recommendations.China's capital market strong speculative atmosphere,a number of companies from the capital market in order to legitimate the "circle" to more funds,through normal business channels were not available,the excess interest to fabricate false accounting information,defrauding shareholders of trust and support.Listed companies,the controlling shareholder of a listed company,the management of listed companies,intermediary organizations,such as the participation of stakeholders at the same time and was a high income.
